The Brevard County School Board Leasing Corporation, Brevard County, Florida, met in annual session on Tuesday, February 13, 2007 at the Educational Services Facility, 2700 Judge Fran Jamieson Way, Viera, Florida. Notice of the meeting was advertised in THE EAGLE newspaper on February 8, 2007, and the affidavit of publication with a copy of the notice attached is filed in Brevard County School Board Leasing Corporation minute book located in the Office of Financial Services and in supplemental minute book 220, page 220-185.

Chairman Robert Jordan called the meeting to order at 7:05 p.m.

A-1. Issuance of Series 2007A, and Series 2007B Certificates of Participation

Recommendation: Adopt the attached resolution authorizing the issuance of Certificates of Participation Series 2007A, not exceeding $40,000,000, and Series 2007B, not exceeding $80,000,000, for the lease-purchase financing and refinancing of certain educational facilities and for amendments to ground leases, as necessary, of certain real property in connection with financing educational facilities. Approve all other financing documents required to complete the negotiated sale of certificates of Series 2007A and 2007B. Approve A.G. Edwards as the senior managing underwriter and Citigroup, Raymond James and Wachovia as co-managing underwriters for these issues.

A motion was made by Amy Kneessy with a second by Barbara Murray to approve the recommendation. Motion carried unanimously.

A copy of the agenda and board item A-1 is filed in supplemental minute book 220, pages 220-521 through 220-523, inc. A copy of the resolution and all other financing documents required to complete the negotiated sale of the certificates is filed in supplemental minute book #220, pages 220-371 through 220-489, inc.
